A separate signed proposal or statement of work ("SOW") governs the commercial terms of that engagement; these Terms apply to everything the SOW doesn't cover. An engagement begins only once a proposal is accepted in writing and any required advance is paid.

Services & Client Agreements

The scope, deliverables, timelines, fees and payment terms for a project will be set out in a proposal, quotation, order form or Statement of Work ("SOW") agreed with the Client.

• If there is a conflict between these Terms and a signed SOW, the SOW will apply to the extent of that conflict.
• Work begins only after the proposal or SOW is accepted and any required advance payment is received.

Fees & Payments

Fees and payment schedules are determined by the applicable proposal or SOW.

Unless otherwise agreed:

• An advance payment may be required before work begins.
• Milestone or monthly payments must be made according to the agreed schedule.
• Applicable taxes are the Client's responsibility.

• Refunds are subject to our Refund Policy and the terms of the applicable SOW.

Client Responsibilities

The Client is responsible for providing accurate information, content, access, approvals and materials reasonably required to complete the project.

The Client confirms that materials supplied to Ovelovia do not infringe any third-party rights.
